1. Eligibility

You must be at least 13 years old to use the Game. If you are under the age of majority in your jurisdiction, you must have permission from a parent or legal guardian. By accessing or using the Game, you represent and warrant that you meet these requirements.

2. Wallets, User Accounts & Security

Access to the Game requires connecting a supported blockchain wallet. You are solely responsible for maintaining the confidentiality and security of your wallet, including private keys and seed phrases. We cannot recover lost access and assume no responsibility for unauthorized access.

You may not share, lease, or transfer your account access. You are responsible for all activity conducted under your wallet, whether or not authorized by you. You may only maintain one active user identity unless explicitly permitted by us.

3. Entry Fee & Account Creation

To participate in the Game, users must create an account by either minting a "Noob" character via blockchain wallet or purchasing an account with a credit card. Both options require payment of a one-time, non-refundable entry fee that grants access to gameplay and initial assets, but does not imply ownership, rights, or future returns from the Company.

4. Credit Card Account Purchases

Users may purchase game accounts using credit card payments processed through third-party payment providers. By choosing this payment method, you acknowledge and agree that:

• Account purchase prices are subject to change at any time without prior notice;
• All purchases are final and non-refundable;
• Payment processing is handled by third-party providers (such as Stripe) and subject to their terms and policies;
• We reserve the right to modify payment methods, pricing tiers, or discontinue credit card purchases at our sole discretion;
• Currency exchange rates (if applicable) may affect final pricing and are not controlled by us;
• You are responsible for all applicable taxes, fees, and charges imposed by your financial institution or payment provider.

We make no guarantees regarding the availability, processing time, or success of credit card transactions. Failed or declined payments do not entitle you to account access or compensation.

5. Digital Assets & In-Game Items

You may collect or acquire in-game assets, including ERC-1155 tokens and other digital collectibles, via gameplay or marketplace interactions. These assets are purely digital and do not constitute investments, securities, or ownership in the Company.

We reserve the right to charge and enforce royalties on the transfer or sale of any such assets. Asset utility, availability, rarity, or functionality may change at any time, with or without notice.

6. Giga Juice & Subscriptions

Users may purchase optional products such as Giga Juice, which provides premium access or enhanced gameplay features. All such purchases are final and non-refundable. We make no guarantees as to the utility, value, or longevity of these features.

7. Gacha & Loot Boxes

The Game may offer randomized loot boxes or gacha mechanics. These are chance-based, paid digital items. All such purchases are final and non-refundable. We do not guarantee specific outcomes or rarity.

8. Referral Program

Gigaverse may offer an optional referral program that allows players to refer new users to the Game in exchange for a fixed, one-time reward. This reward may be based on the referred user's entry fee or purchases made in the in-game shop.

All referral rewards:

• Are paid directly to the referring player's wallet at the time of the qualifying transaction;
• Are non-recurring and do not entitle the referring player to ongoing revenue share, profit participation, or commissions;
• Are subject to change or termination at any time, with or without prior notice;
• Do not create any ongoing contractual relationship between Gigaverse Games Inc and the referring player.

Gigaverse Games Inc reserves the right to withhold, suspend, or permanently disable referral rewards in cases of fraud, abuse, multi-accounting, collusion, or any behavior deemed to manipulate or exploit the referral system. Determination of abuse is at our sole discretion.

Participation in the referral program does not constitute employment, partnership, agency, or any form of business relationship with Gigaverse Games Inc.

9. Skill-Based Wagering

The Game may support skill-based competitive features, including peer-to-peer wagering between consenting players. These contests are not games of chance, and outcomes are determined by performance within the Game.

Players may stake in-game or onchain assets, with winners receiving the prize pool minus a platform fee. All participation is voluntary, and players bear full risk of loss.

10. Beta Disclaimer & Assumption of Risk

The Game is in early beta. As such, you may experience bugs, asset loss, instability, or downtime. You acknowledge that:

• Features may change or be removed;
• Assets may be wiped or rebalanced;
• Access may be suspended or terminated at any time.

You accept full risk and agree not to hold us liable for any harm arising from use.

11. Game Changes & Balancing

We reserve the right to modify or remove any element of the Game, including character stats, item utility, mechanics, or game rules, in order to maintain a fair and healthy game environment.

We may roll back game states or invalidate progress gained through exploits or bugs. No compensation will be provided for such changes.

12. Gigamarket (Marketplace)

Gigaverse Games includes an in-game peer-to-peer marketplace, known as Gigamarket, where users may list, buy, or sell assets. All such transactions are between players.

We do not control listings, verify ownership, or guarantee delivery. Use of Gigamarket is at your own risk. We assume no liability for failed trades, scams, or pricing errors.

13. Acceptable Use & Fair Play

You agree not to:

• Engage in harassment, abuse, or impersonation;
• Exploit bugs or loopholes;
• Circumvent bans or restrictions;
• Violate the letter or spirit of fair competition.

Automated gameplay (using approved agents or similar) is currently permitted but may be restricted or made conditional upon other requirements in future updates. We reserve the right to monitor behavior, investigate suspicious activity, and take enforcement action, including bans or restrictions.

14. Player-Generated Content

You may submit names, art, feedback, ideas, or other content. By doing so, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and adapt such content.

You represent that your submissions do not infringe on third-party rights. We may remove any content at our discretion.

15. Intellectual Property

All visuals, code, branding, mechanics, and lore within the Game are the exclusive intellectual property of Gigaverse Games Inc or its licensors. Ownership of NFTs or in-game assets does not grant any commercial rights, licenses, or entitlement to IP usage.

16. Third-Party Services & Integrations

The Game may interface with third-party providers (e.g., wallet tools, L2 infrastructure). We do not control and are not responsible for the functionality, uptime, or privacy policies of these services.

17. Financial Disclaimer

Nothing in the Game constitutes investment advice. No aspect of gameplay or asset ownership should be construed as an expectation of financial return. Digital assets in Gigaverse have no intrinsic or guaranteed value.

18. Taxes

You are solely responsible for complying with applicable tax laws related to your in-game activity, including reporting income or gains from asset transfers or rewards.

19. Disclaimers & Limitation of Liability

THE GAME IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF ASSETS, DATA, OR PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF LIABILITY IS IMPOSED DESPITE THESE DISCLAIMERS, OUR MAXIMUM LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE DIRECTLY PAID TO US IN THE PAST TWELVE (12) MONTHS, OR ONE HUNDRED DOLLARS (US$100), WHICHEVER IS LESS.

SOME JURISDICTIONS MAY LIMIT THESE EXCLUSIONS. IF SO, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED.

20. No Claims, No Disputes

You agree to release Gigaverse Games Inc from all present and future claims related to your use of the Game. You further waive the right to initiate or participate in any class action, arbitration, or legal proceeding against us in any jurisdiction.

21. Indemnification

You agree to indemnify and hold harmless Gigaverse Games Inc, its officers, affiliates, and agents from any claims, losses, or damages (including legal fees) arising from your use of the Game, violation of these Terms, or breach of any applicable law.

22. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively through informal communication or, if necessary, the courts of Delaware.

23. Severability

If any provision of these Terms is held invalid, the remainder shall remain in full force. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default.

24. Changes to Terms

We may modify these Terms at any time. Updates will be posted on our website. Continued use of the Game after updates constitutes acceptance of the new Terms.
